Welcome to ClearPath ESG. Please read these terms carefully before purchasing. By purchasing any product from this website, you confirm that you have read, understood and agreed to these terms. The merchant of record for all transactions is Paddle.com Market Ltd ("Paddle"), which processes payments, invoices and applicable taxes on our behalf.

1. Ordering Process

• To purchase a Product, complete the enquiry form on our Enquire About Purchase page or email us at contact@clearpath-esg.com.
• We respond to all enquiries within one business day with a purchase link and any additional information you need.
• A contract is formed only when you complete payment through the purchase link we provide; payments are processed by Paddle as merchant of record.

2. Products and Licence

• We sell digital training products (the "Products"), including video modules, assessments, facilitator guides and editable templates.
• Purchasing a Product grants the purchaser a perpetual, non-exclusive, non-transferable licence for internal use within the purchasing organization.
• Permitted uses: deploying SCORM files in the purchaser's own Learning Management System; distributing materials to the purchaser's own employees; editing templates and policies for the purchaser's own internal compliance use.
• Prohibited uses: reselling, sublicensing, publicly redistributing, or sharing download links, SCORM files or templates outside the purchasing organization. White-label and multi-entity licences are available on request.

3. Delivery

• After successful payment, download links and access details are delivered by email to the address provided at checkout, usually within one business day.
• You are responsible for providing a valid email address and checking your spam folder. Contact us if delivery fails and we will resolve it.

4. Pricing and Taxes

• Prices are quoted in euros (EUR) and include VAT, GST or sales tax where applicable. The amount shown at checkout is the total you pay; Paddle, as merchant of record, calculates, collects and remits any tax due in your jurisdiction.
• Products are one-time purchases. There is no subscription, and no recurring charges.

5. Updates

Products are designed to be updated as the regulatory landscape evolves. Updated versions are made available to existing licence holders. The scope and schedule of updates may change; we do not guarantee any specific update timeline.

6. Refund Policy

• Refunds are available where the Product was not as described, the files were defective, or the purchase was made in error, provided the request is made within 14 days of purchase with the reason stated. Where a refund is issued, you confirm in writing that all downloaded files have been deleted and that no copies have been retained. Refunds are not available for change of mind. Refund requests are processed with the assistance of Paddle. Full conditions are set out in our Product Terms.

7. Intellectual Property

All intellectual property rights in the Products — including video content, assessments, templates and documentation — remain the property of ClearPath ESG. A purchase licence does not transfer ownership of any intellectual property. The "Am I Affected?" checklist, regulation matrices and similar tools are provided for internal reference and do not constitute legal advice.

8. No Legal Advice

The Products provide training and operational templates. They do not constitute legal, tax or accounting advice, and do not create a professional relationship. You remain responsible for obtaining qualified professional advice for your specific circumstances and jurisdictions.

9. Disclaimer and Liability

The Products are provided "as is". We do not warrant that they are suitable for any particular purpose or that they ensure compliance with any specific regulation. To the maximum extent permitted by law, our aggregate liability is limited to the amount you actually paid for the Product.

10. Acceptable Use

• Automated scraping or bulk downloading of this website is prohibited.
• If we detect piracy or leaked download links, we reserve the right to revoke access and pursue available remedies.

11. Changes to These Terms

We may update these terms from time to time. The revised version will be published on this page with an updated date. Continued use of this website constitutes acceptance of the revised terms.
